Bridge Loan to a Panamanian Mining Holding Company

Advised the client on the drafting, negotiation and closing of a bridge loan to a Panamanian holding company engaged in the development of mining projects in Colombia. The financing included the structuring of pledges over (i) the shares of more than 20 companies, including simplified stock companies and ordinary mining companies, engaged in the development of mining projects; and (ii) more than 400 mining titles and mining-title applications.

Debt Restructuring of a Grupo Energía Bogotá Subsidiary

Advised the client on the restructuring of debt incurred by one of its subsidiaries, which served as the special purpose vehicle for the development of a 138.3 km regional transmission line in La Guajira, Colombia. Following the subsidiary's merger into GEB, the transaction required converting the debt from a project finance structure into corporate debt. Our work included drafting and negotiating the new loan agreement, analyzing regulatory matters relating to both the energy sector and public indebtedness, and assisting the client in satisfying the conditions precedent for implementation of the new structure, particularly the release of the existing security package.
