Rodrigo has a law degree from the University of the Andes and holds a specialization in Corporate Finance from the College of Higher Administrative Studies (CESA). He is also a founding partner of JCD, focusing his practice on the structuring and development of structured finance projects and transactions. Rodrigo also frequently works on mergers and acquisitions, corporate matters, consulting, and transactions in highly regulated industries.
He has experience advising national and international clients, including companies listed on foreign stock exchanges, on the structuring, negotiation and execution of complex mergers and acquisitions transactions in sectors such as energy, oil and gas, mining and transport, participating in all stages of the process, from due diligence to closing, including the coordination of precedent conditions.
In the area of projects and infrastructure, he has advised developers and financial institutions on the structuring and financing of projects under project finance schemes, including the negotiation of financing agreements, mezzanine debt, refinancings, and sales in the secondary market. His experience also encompasses the structuring and negotiation of key contracts for project bankability, such as construction contracts under EPC schemes and long-term supply contracts (off-take agreements), in accordance with local and international banking standards.
Additionally, he has participated in capital markets transactions, including the structuring and launch of investment vehicles, as well as the negotiation of loan agreements and corporate finance framework agreements. He has developed expertise in the energy sector, particularly in non-conventional renewable energy sources (NCRES), advising on applicable regulations, financing schemes and project structuring, as well as preparing regulatory proposals and analyzing the emerging hydrogen market in Colombia.

Potential Acquisition of a Port Company in Cartagena
Confidential client
Advised the client on the structuring of the potential acquisition of a port company located in Cartagena Bay, with a view to expanding the terminal and significantly increasing its capacity, particularly for container handling. Our advice included conducting due diligence on the operating company and structuring the transaction. We also provided regulatory advice in connection with obtaining an extension of the existing concession term to support the bankability of the acquisition.
IDB Publication on PPPs in Parks
Inter-American Development Bank
Participated in the preparation of the Inter-American Development Bank (IDB) publication 'PPPs in Parks in Latin America and the Caribbean: Findings and Practical Guide for Partnerships,' in collaboration with the IDB's Public-Private Partnerships team and Brazil's Semeia Institute. Our role involved extensive legal research on the legislation applicable to park PPPs in 25 Latin American and Caribbean jurisdictions, with the aim of providing public-sector stakeholders and governments with practical guidance on best practices for structuring such projects in the region.
Acquisition of a Freight Services Provider in Colombia

Advised on the acquisition of a freight services provider in Colombia, including due diligence, transaction structuring and negotiation of the legal documentation required to complete the transaction.
Regasification and Port Services Project in Buenaventura
Regasificadora del Pacífico
Advised Regasificadora del Pacífico S.A. and the sponsor on the structuring of a logistics and port services project in Buenaventura and a regasification project in Buga, Valle del Cauca, including negotiation of all material contracts, such as arrangements to secure an FSU, the design and construction agreement for the regasification facility and the offtake agreement, among others. We also advised the project on its financing under New York law through a project finance structure.
