Pablo Jaramillo is a founding partner of JCD. His main areas of expertise include project structuring and development, acquisitions, and complex structured finance transactions.
Pablo also frequently works on M&A processes and the acquisition of assets in highly regulated industries in Latin America. He also has extensive experience in constitutional and public-administrative law, with an emphasis on project development and regulatory aspects, including royalty-related matters. He served as an Assistant Magistrate at the Constitutional Court from 2017 to 2018, and as a professor of Constitutional Law, Legislation and Public Policy (legislative procedure), Administrative Law, and Public Actions, among other related subjects, at the University of the Andes. He was the Director of the Public Law practice at Norton Rose Fulbright Colombia from 2017 to 2018 and a partner in the projects and infrastructure practice at Dentons Cárdenas & Cárdenas from 2019 to 2026.
Pablo has worked extensively in the region on some of the most important infrastructure projects. His experience encompasses various transportation sectors, including ports, airports, highways, light and heavy rail, mass transit systems, and several power generation facilities. He has also acted on behalf of international financing groups in the financial closing of several transactions.

Advised a company on investments in, and the structuring and development of, projects in the Colombian energy sector, including the negotiation and drafting of power purchase agreements and corporate agreements governing the participation of project partners, among other legal documents. Our advice included taking the energy projects through ready-to-build status in preparation for the partial or full sale of the sponsors' interests.

Access Road to Puerto Antioquia

Advised the client on the legal structuring of a US$20 million project to construct the access road to Puerto Antioquia. Our work included negotiating an administrative agreement with the Government of Antioquia to facilitate the access route, structuring the funds-flow arrangement, EPC contracting, accreditation of the investment before the National Infrastructure Agency (ANI), and accounting efficiencies. We also provided regulatory and commercial analysis and recommendations for the various stakeholders involved in the infrastructure project, including equity contributors and the road construction company.
