Pablo Jaramillo is a founding partner of JCD. His main areas of expertise include project structuring and development, acquisitions, and complex structured finance transactions.
Pablo also frequently works on M&A processes and the acquisition of assets in highly regulated industries in Latin America. He also has extensive experience in constitutional and public-administrative law, with an emphasis on project development and regulatory aspects, including royalty-related matters. He served as an Assistant Magistrate at the Constitutional Court from 2017 to 2018, and as a professor of Constitutional Law, Legislation and Public Policy (legislative procedure), Administrative Law, and Public Actions, among other related subjects, at the University of the Andes. He was the Director of the Public Law practice at Norton Rose Fulbright Colombia from 2017 to 2018 and a partner in the projects and infrastructure practice at Dentons Cárdenas & Cárdenas from 2019 to 2026.
Pablo has worked extensively in the region on some of the most important infrastructure projects. His experience encompasses various transportation sectors, including ports, airports, highways, light and heavy rail, mass transit systems, and several power generation facilities. He has also acted on behalf of international financing groups in the financial closing of several transactions.

Structuring of Energy Projects through Ready-to-Build Stage

Advised a company on investments in, and the structuring and development of, projects in the Colombian energy sector, including the negotiation and drafting of power purchase agreements and corporate agreements governing the participation of project partners, among other legal documents. Our advice included taking the energy projects through ready-to-build status in preparation for the partial or full sale of the sponsors' interests.
Regasification and Port Services Project in Buenaventura

Advised Regasificadora del Pacífico S.A. and the sponsor on the structuring of a logistics and port services project in Buenaventura and a regasification project in Buga, Valle del Cauca, including negotiation of all material contracts, such as arrangements to secure an FSU, the design and construction agreement for the regasification facility and the offtake agreement, among others. We also advised the project on its financing under New York law through a project finance structure.
